Terms of Service

These Terms of Service ("Terms") govern your use of Businex360, the AI-powered accounting, POS, ERP, and CRM platform provided by TrustBill FZ-LLC ("TrustBill", "we", "our", or "us"). By accessing or using Businex360, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Businex360, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use Businex360.

2. Description of Service

Businex360 is a desktop and mobile application that provides:

Point-of-sale (POS) functionality for retail, restaurant, and other businesses
Double-entry accounting engine
Customer relationship management (CRM)
Inventory and warehouse management
HR and payroll features
AI-powered business analytics and cash-flow forecasting
ZATCA Phase 2 e-invoicing compliance (Saudi Arabia)
FTA e-invoicing and VAT compliance (United Arab Emirates)

Businex360 operates as a client for TrustBill ERP, which provides the backend cloud services, data storage, and regulatory compliance infrastructure.

3. Account Registration and Security

To use Businex360, you must:

Be at least 18 years old
Provide accurate, complete, and current information
Maintain the security of your account credentials
Notify us immediately of any unauthorized use of your account
Be responsible for all activities that occur under your account

4. TrustBill ERP Account Requirement

Businex360 requires a TrustBill ERP account to function. Your Businex360 account is linked to your TrustBill ERP account, and all data is stored and processed through TrustBill's cloud infrastructure. You must agree to TrustBill's Terms of Service separately.

5. Acceptable Use Policy

You agree not to use Businex360 for any unlawful purpose or in any way that could damage the service. Specifically, you must not:

Use Businex360 to create fraudulent invoices or tax documents
Attempt to bypass ZATCA or FTA compliance requirements
Reverse engineer, decompile, or attempt to extract source code
Use automated tools to access the service without authorization
Interfere with or disrupt the service or servers
Use the service to transmit malware or malicious code

6. Intellectual Property

All content, features, and functionality of Businex360 are owned by TrustBill and are protected by copyright, trademark, and other intellectual property laws. You may not:

Copy, modify, or distribute the software
Remove any copyright or proprietary notices
Use Businex360 trademarks without prior written consent

7. Data Ownership and License

Your Data: You retain ownership of all business data you input into Businex360 (customers, products, invoices, etc.).
License to Us: You grant us a license to store, process, and transmit your data solely to provide the service and comply with regulatory requirements.
Data Export: You may export your data at any time through TrustBill ERP's data export features.

8. Compliance and Regulatory Obligations

As a user of Businex360, you are responsible for:

Ensuring your business data is accurate and complete
Complying with all applicable tax laws and regulations in your jurisdiction
Maintaining proper records as required by ZATCA, FTA, and other authorities
Using the e-invoicing features in accordance with regulatory requirements

TrustBill provides the technical infrastructure for compliance but is not responsible for your business's tax obligations or regulatory compliance.

9. Service Availability and Updates

Businex360 is provided "as is" and "as available" without warranties of any kind.
We may update, modify, or discontinue features of Businex360 at any time without notice.
We do not guarantee uninterrupted or error-free operation of the service.
Offline functionality requires periodic internet connectivity for sync and compliance.

10. Limitation of Liability

To the maximum extent permitted by law, TrustBill shall not be liable for:

Any indirect, incidental, special, or consequential damages
Loss of profits, revenue, data, or business opportunities
Tax penalties, fines, or regulatory sanctions resulting from your use of the service
Damages exceeding the amount you paid for the service (if any) in the past 12 months

11. Indemnification

You agree to indemnify and hold TrustBill harmless from any claims, damages, or expenses arising from:

Your use of Businex360
Your violation of these Terms
Your violation of any law or regulation
Your violation of any third-party rights

12. Termination

We may suspend or terminate your access to Businex360 at any time for:

Violation of these Terms
Suspicious or fraudulent activity
Non-payment of TrustBill ERP subscription fees (if applicable)
Discontinuation of the service

Upon termination, your right to use Businex360 ceases immediately. You may request export of your data within 30 days of termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved through:

Good faith negotiation between the parties
If unresolved, mediation through the Dubai International Arbitration Centre (DIAC)
If unresolved, binding arbitration in accordance with DIAC rules

14. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the service. Your continued use of Businex360 after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any applicable TrustBill ERP terms, constitute the entire agreement between you and TrustBill regarding Businex360.
